"Venti Red", "we", "us" or "our" means Venti Red FZ-LLC, a company registered in the United Arab Emirates, operating the Z358 One compliance platform at z358one.com and associated domains.
"Z358 One" or the "Platform" means the software-as-a-service application, including all features, tools, dashboards, facility mapping, inspection records, compliance reports and related services provided by Venti Red.
"User", "you" or "your" means any individual or organisation that accesses or uses the Platform, including End Users, Channel Partners, Manufacturers and Administrators.
"Licence" means the limited, non-exclusive, non-transferable right to access and use the Platform granted under these Terms.
"Audit Data" means all compliance records, inspection logs, facility maps, equipment registers, photographs and other information you enter into the Platform.
"Access Code" means a unique activation credential that enables a User account to be created and linked to a Licence.
Compliance with ANSI Z358.1-2014, EN 15154 or any other safety standard is the sole responsibility of the User and their organisation. Use of the Platform does not guarantee compliance with any applicable law, regulation or standard. Venti Red makes no warranty that completing an audit on the Platform satisfies any legal or regulatory obligation in any jurisdiction.
All assessments, measurements, test results and compliance determinations recorded in the Platform are performed by the User. Venti Red is not responsible for the accuracy, completeness or correctness of any data entered by Users, nor for the consequences of any incorrect assessment or missed inspection.
The Platform should be used alongside, not as a replacement for, qualified safety professionals, competent persons, and professional technical inspection services. Where standards require inspection by a qualified or competent person, the Platform record-keeping function does not satisfy that requirement independently.
Subject to these Terms and payment of applicable fees, Venti Red grants you a limited, non-exclusive, non-transferable, revocable Licence to access and use the Platform for your internal business purposes during the applicable Licence term.

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must notify us immediately at hello@ventired.ae if you become aware of any unauthorised use of your account.
You must provide accurate, current and complete information when creating an account and keep that information up to date. Venti Red reserves the right to suspend or terminate accounts where information is found to be false, inaccurate or misleading.
Access Codes are single-use and non-transferable. Each code may only be used to create one account. Codes may not be resold, gifted or transferred without the prior written consent of Venti Red.
Where you access the Platform as a Channel Partner, Reseller, Distributor or Manufacturer ("Partner"), the following additional terms apply:
Access to the Platform requires a valid Licence purchased directly from Venti Red or through an authorised Channel Partner. Pricing is as published on ventired.ae or as agreed in a written order confirmation.
Licences are non-refundable once activated. Licences are for a fixed term (typically 12 months) and do not automatically renew unless expressly agreed in writing.
Venti Red reserves the right to modify pricing with 30 days' written notice. Continued use of the Platform after the effective date of a price change constitutes acceptance of the new pricing.
Venti Red retains all intellectual property rights in the Platform, including its software, design, interfaces, algorithms, documentation and branding. Nothing in these Terms transfers any intellectual property rights to you.
You retain ownership of your Audit Data. You grant Venti Red a limited licence to store, process and display your Audit Data solely for the purpose of operating the Platform and providing the service to you. Venti Red will not use your Audit Data for any other purpose without your consent.
Venti Red may use anonymised, aggregated data derived from Platform usage for the purposes of product improvement, benchmarking and analytics, provided that such data cannot identify any individual or organisation.
Venti Red processes personal data in accordance with its Privacy Policy (available at z358one.com/privacy), UAE Federal Decree-Law No. 45 of 2021 on the Protection of Personal Data ("UAE PDPL"), and where applicable, the EU General Data Protection Regulation ("GDPR").
You are the data controller of any personal data entered into the Platform. Venti Red acts as a data processor on your behalf. By using the Platform, you confirm that you have a lawful basis for processing any personal data entered and that you have provided appropriate notices to any individuals whose data you enter.
Data is stored on Google Firebase infrastructure (Google LLC, USA). Google acts as a sub-processor. Data may be stored in data centres outside the UAE. By using the Platform, you consent to this international transfer.
Venti Red will use commercially reasonable efforts to maintain Platform availability. However, we do not guarantee uninterrupted, error-free or secure access. The Platform may be unavailable during maintenance windows, which we will endeavour to schedule outside business hours where practicable.
Support is available by email at hello@ventired.ae. Venti Red will use reasonable efforts to respond to support requests within 2 business days.
10.1 Venti Red's total aggregate liability to you for all claims arising out of or in connection with these Terms or your use of the Platform shall not exceed the fees paid by you (or on your behalf) to Venti Red in the 12 months immediately preceding the event giving rise to the claim.
10.2 Venti Red shall not be liable for any: (a) indirect, incidental, special, consequential or punitive damages; (b) loss of profits, revenue, data or business; (c) personal injury, death or property damage arising from your use of or inability to use the Platform; (d) regulatory fines, penalties or sanctions resulting from non-compliance with any safety standard; (e) incidents, accidents or injuries occurring at any facility where the Platform has been used.
10.3 Nothing in these Terms limits or excludes liability for death or personal injury caused by Venti Red's gross negligence or wilful misconduct, or for fraud or fraudulent misrepresentation.
10.4 You acknowledge that the Platform is an administrative tool and that any failure to achieve or maintain compliance with safety standards is not caused by the Platform but by operational, physical or procedural factors within your control.
You agree to indemnify, defend and hold harmless Venti Red, its officers, directors, employees and agents from and against any claims, damages, losses, liabilities, costs and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your Audit Data or any content you submit; (c) any third-party claim arising from your compliance programme or the lack thereof; (d) any breach by you of applicable law.
Either party may terminate the Licence at any time by providing 30 days' written notice. Venti Red may terminate or suspend access immediately and without notice if: (a) you breach these Terms and fail to remedy the breach within 7 days of notification; (b) you become insolvent or enter insolvency proceedings; (c) we reasonably believe your use of the Platform poses a security or reputational risk.
Upon termination, your right to access the Platform ceases. Venti Red will retain your Audit Data for 90 days following termination, during which you may request a data export. After 90 days, Venti Red may delete your data permanently.
Venti Red shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including acts of God, government actions, pandemics, cyberattacks on third-party infrastructure, or failure of third-party service providers (including Firebase/Google).
These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any dispute arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of the UAE.
Prior to commencing legal proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation for a period of not less than 30 days.
Venti Red reserves the right to modify these Terms at any time. Where changes are material, we will provide at least 14 days' notice by email or via the Platform. Continued use of the Platform after the effective date of any changes constitutes acceptance of the updated Terms.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force. These Terms, together with the Privacy Policy and any written order confirmation, constitute the entire agreement between you and Venti Red in relation to the Platform and supersede all prior agreements, representations and understandings.
